ARB's PCH asset purchase closed on July 15, 2025

ARB Interactive completed its PCH asset purchase through PCH Digital in July 2025. The acquisition did not transfer most earlier prize obligations, according to ARB.

ARB Interactive's purchase of substantially all Publishers Clearing House assets closed on July 15, 2025, according to the court-filed closing notice. The attached agreement set cash consideration at $7.1 million and separately addressed assumed liabilities.

Before closing, ARB assigned its rights and obligations to PCH Digital LLC, while remaining responsible for its own obligations under the purchase agreement and sale order. PCH's transaction adviser, SSG Capital Advisors, described the deal as a bankruptcy asset sale.

For earlier prize winners, the ownership change did not mean all existing awards transferred to the buyer. In September 2025 reporting by the Associated Press, ARB said it was not responsible for prizes issued before July 15, except for two unawarded SuperPrizes still being promoted. That distinction separated the acquired business from most earlier prize obligations.
